1. This agreement
These Terms of Service (the “Terms”) form a binding agreement between you and TypeThink AI, the operator of PicX Studio (“PicX Studio”, “we”, “us”). They govern your use of picxstudio.com, the PicX Studio application, our public API at api.picxstudio.com, our MCP connector at mcp.picxstudio.com, and our plugins for AI assistants such as ChatGPT, Codex and Claude (together, the “Service”).
By creating an account, purchasing credits, connecting the Service to an AI assistant, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you are agreeing on behalf of a company or other organisation, you confirm you have authority to bind it, and “you” means that organisation.
2. Eligibility
You must be at least 13 years old to use the Service, and at least 18 years old — or the age of majority where you live — to purchase credits, hold a paid plan, or manage billing. If you are between 13 and 18, you may only use the Service with the consent and supervision of a parent or legal guardian. You must not use the Service if you are barred from doing so under applicable sanctions or export control law.
3. Your account
- Provide accurate information and keep it current. One person or organisation per account unless we agree otherwise in writing.
- You are responsible for all activity under your account, including generations, credit spend, and anything done by an AI assistant you have connected.
- Keep your credentials, API keys and connector grants confidential. Tell us immediately at [email protected] if you suspect unauthorised access.
- Do not share, resell or sublicense your account credentials or API keys.
4. Credits, plans and billing
4.1 How credits work
The Service runs on credits. Each generation or edit consumes a number of credits that depends on the model, output resolution, and duration. The credit cost is shown before you spend, and is also returned in API and connector responses. Credits are a prepaid entitlement to use the Service — they are not money, not a deposit, and hold no cash value.
- Credits do not expire. They remain in your balance until spent.
- There is a single balance. Credits from a plan renewal, a one-time pack, or a custom top-up all land in the same balance, with no separate buckets.
- Credits are non-transferable between accounts and cannot be exchanged for cash.
- Fair-use rate limits and a daily credit cap apply to protect platform stability. Current limits are available through the Service.
4.2 Plans and payment
Paid plans are billed in advance on a recurring basis and add a fresh batch of credits on each renewal. One-time credit packs and custom top-ups are charged once. Card payments are handled by Freemius, which acts as reseller and merchant of record, and crypto payments by OxaPay (subscriptions bought earlier through Whop or Dodo Payments continue there); applicable taxes may be added at checkout. Prices, including the credits a generation costs, may change; we will give notice before a change takes effect or affects your next renewal.
4.3 Cancellation
You can cancel a plan at any time. Cancellation stops future renewals and takes effect at the end of the current billing period. Credits already granted to your balance remain yours after cancellation and do not expire.
4.4 Refunds
- Billing problems — 30 days. If a charge is wrong, duplicated, or the checkout went wrong, email [email protected] within 30 days of the charge and we will put it right. Refunds are handled by our support team on a case-by-case basis rather than automatically.
- Failed generations are refunded in credits. If a generation fails on our side or at the model provider, the credits charged for it are returned to your balance automatically, usually within minutes. You can then retry.
- A completed generation is not refundable. Compute is consumed whether or not you like the result, so credits spent on a generation that completed successfully are not returned. Adjust your prompt or settings and generate again.
- Unused credits on deletion. If you delete your account, any remaining credits are forfeited and are not refundable.
- Where consumer law in your jurisdiction grants you a non-waivable refund or withdrawal right, that right applies in addition to this policy.
4.5 Non-payment
If a payment fails or is reversed, we may suspend access to paid features and pause credit grants until the balance is settled. We may also deduct improperly obtained credits from your balance.
5. Your content and what you may do with it
PicX Studio believes in creative freedom. Subject to these Terms and except for any third-party asset identified as belonging to someone else, you receive a worldwide, royalty-free, perpetual and irrevocable licence to use any image, video, prompt or other content you create with the Service (“Studio Content”) in any medium and for any lawful purpose — including commercial use such as selling prints, merchandise, advertising, or derivative works. We claim no ownership of your Studio Content and impose no attribution requirement or extra royalty.
You retain all rights in the reference material you upload. You grant us a limited licence to host, process, transmit and display your prompts, uploads and Studio Content strictly to operate the Service for you — including transmitting them to the model provider you selected. As stated in our Privacy Policy, we do not use your content to train AI models.
5.1 Your responsibilities for Studio Content
- You are solely responsible for the content you create, upload or publish, and for ensuring your use of it is lawful, not misleading, and does not infringe anyone’s rights.
- If Studio Content depicts or is based on a real person, a trademark, an artwork, or private property, you must obtain every permission, model release or consent the law requires before you create, publish or commercialise it.
- You must own or have the rights to any material you upload as a reference, and the consent of any identifiable person shown in it.
- We use automated and manual moderation to enforce these Terms and our Content Policy. We may review prompts, uploads and Studio Content when moderating or investigating a report, and may remove content that breaks them. Claims arising from your use of Studio Content are otherwise between you and the affected parties.
5.2 No guarantee of uniqueness
Generative models can produce similar output for similar inputs. We cannot guarantee that Studio Content is unique, nor that it is free of similarity to existing works, nor that it is registrable as intellectual property in your jurisdiction. The copyright status of AI-generated material differs between countries and is still developing.
6. Acceptable use
Our Content Policy sets out these rules in more detail and forms part of these Terms. You must not use the Service to create, upload or distribute content that:
- is sexually explicit, nude, pornographic or erotic;
- sexualises minors in any way, or depicts child sexual abuse material — we report such activity to the relevant authorities and terminate the account immediately;
- is non-consensual intimate imagery, or sexual content depicting a real identifiable person without their consent;
- depicts a celebrity, public figure or any other real, identifiable person without their consent — this applies to generating such content, not only to publishing it;
- impersonates a real person or organisation, or is a deepfake depicting a real person without their consent — whether or not it is intended to mislead, and including political disinformation and election interference;
- facilitates fraud, scams, phishing, or the creation of forged identification or financial documents;
- harasses, threatens, defames, or incites violence or hatred against a person or group, including on the basis of a protected characteristic;
- depicts gratuitous violence or gore, or promotes self-harm, suicide, or eating disorders;
- provides instructions for weapons, explosives, or other seriously dangerous activity;
- infringes intellectual property or privacy rights, or breaches a duty of confidence;
- is otherwise unlawful where you are or where you publish it.
You must also not:
- circumvent credit accounting, rate limits, daily caps, or any access control;
- scrape, crawl, reverse engineer, or attempt to extract model weights or system prompts;
- resell raw Service capacity, or wrap the Service as a substantially similar competing generation product, without a written agreement with us;
- probe, load-test or attack our infrastructure — responsible disclosure to [email protected] is welcome and exempt from this;
- use the Service to build a dataset for training a competing model;
- interfere with another user’s access or with the integrity of the platform.
We enforce this section with automated filters and manual review. Depending on the severity of a breach we may remove content, warn you, suspend your account, or ban it permanently, and we report illegal content to the authorities where the law requires it. Report content that breaks these rules with the Report button on a template or result, or by email to [email protected] with the subject “Abuse report”.
7. API and AI-assistant connectors
If you use our public API or connect the Service to an AI assistant, the following also applies.
- Your keys, your responsibility. API keys and connector grants act on your account and spend your credits. Anything done with them is treated as done by you. Revoke a credential immediately if it may be compromised.
- Scopes are a ceiling, not a promise. A connector grant is limited to the permissions shown on the consent screen and to a per-session credit ceiling. Higher-cost calls require explicit confirmation before credits are spent.
- Agent behaviour. If you allow an autonomous agent to call the Service, you are responsible for its instructions and its spend. We are not liable for credits consumed by an agent acting on your authorisation, including where it was influenced by prompt injection in content you gave it.
- Compatibility may change. We may version, deprecate or change API endpoints, tool names, schemas and connector behaviour. We will give reasonable notice of breaking changes where we can.
- Third-party assistants. Your use of ChatGPT, Claude or any other assistant is governed by that provider’s own terms, which we do not control and are not responsible for.
8. Third-party model providers
We orchestrate third-party generative models rather than operating our own. Your prompts and reference files are transmitted to the provider you selected. Model availability, behaviour, quality and pricing are controlled by those providers and can change or be withdrawn at short notice. We may add, remove, substitute or re-price models. Where a model is withdrawn by its provider, we will make a comparable alternative available where one exists.
9. Our intellectual property
The Service itself — our software, interfaces, template catalogue structure, documentation, branding, and the PicX Studio name and marks — belongs to us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service as intended. Nothing here transfers ownership of the Service to you. Our brand assets may be used only as permitted by our brand guidelines.
If you send us feedback or suggestions, you grant us an unrestricted right to use them without obligation to you. We will not identify you as the source without your permission.
10. Copyright complaints
If you believe content on the Service infringes your copyright, email [email protected] with: identification of the work, the URL of the material, your contact details, a statement that you have a good-faith belief the use is unauthorised, a statement that the information is accurate, and your signature. We will investigate, remove infringing material where appropriate, and may terminate repeat infringers.
11. Availability and changes to the Service
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, provider outages, and factors outside our control can cause interruption. We may add, change, suspend or discontinue features. If we discontinue the Service entirely, we will give reasonable notice and, where you hold unused credits purchased within the previous 12 months, offer a pro-rata refund of those credits.
12. Suspension and termination
You may stop using the Service at any time and may request account deletion as described in our Privacy Policy.
We may suspend or terminate your access, with notice where practicable, if you breach these Terms, if your use creates legal risk or harms the platform or other users, if payment fails, or if we are required to by law. For a serious breach — in particular the prohibited content in section 6 — we may act immediately and without notice. On termination your licence to use the Service ends; the licence you hold in Studio Content you already created survives.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that generated output will be accurate, original, suitable for your purpose, or free from third-party claims. AI output can be unexpected or wrong — review it before relying on or publishing it. The Service is not a substitute for professional advice.
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot lawfully be excluded or limited, including non-waivable consumer rights.
14. Limitation of liability
To the maximum extent permitted by law, and subject to section 13:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, data or anticipated savings, even if advised of the possibility;
- our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months immediately before the event giving rise to the claim, or (b) USD 100.
These limits apply regardless of the theory of liability and reflect the allocation of risk in a service offered at this price.
15. Indemnity
You agree to indemnify and hold harmless TypeThink AI, its affiliates, officers and employees from any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising from your use of the Service, your Studio Content, your breach of these Terms or of applicable law, or any infringement of a third party’s rights by you or by anyone acting under your credentials.
16. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts of India have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
If you are a consumer resident in the EEA, the UK, or another jurisdiction whose law gives you the right to bring proceedings locally or to rely on your local mandatory consumer protections, nothing here removes that right.
Before starting formal proceedings, please contact [email protected] so we can try to resolve the matter informally.
17. Changes to these Terms
We may update these Terms as the product and the law change. We will update the “Last updated” date above, and for material changes we will give notice by email or in-product before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service and you may request a refund of credits purchased in the preceding 30 days.
18. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service.
- Severability. If a provision is unenforceable, the rest remains in force.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- No agency. These Terms create no partnership, agency, or employment relationship.
- Survival. Sections on content licences, intellectual property, disclaimers, liability, indemnity and governing law survive termination.
